Terms of Service

1. Acceptance of Terms

By accessing or using the PartnerPulse platform ("Service"), operated by Global Board Institute ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and continued use after changes constitutes acceptance.

2. Service Description

PartnerPulse is a partner relationship management (PRM) platform that enables B2B SaaS companies ("Vendors") to create and manage partner programs, recruit affiliates, referral partners, and resellers ("Partners"), track deals, calculate and distribute commissions, and provide partners with dedicated portal access.

The Service includes, but is not limited to: the vendor dashboard, partner portal, tracking link infrastructure, commission engine, Partner Academy (LMS), marketplace, lead distribution, gamification features, and public API.

3. User Accounts and Responsibilities

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Promptly notifying us of any unauthorized use of your account.
• Ensuring that information you provide is accurate and up to date.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or remain inactive for an extended period.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Submit false or misleading deal registrations or commission claims.
• Engage in fraudulent referral or tracking activity, including click fraud, self-referrals, or cookie stuffing.
• Attempt to gain unauthorized access to the Service, other users' accounts, or our infrastructure.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
• Transmit malware, viruses, or any code designed to interfere with the Service.
• Scrape, crawl, or collect data from the Service without our written permission.
• Use the Service to send unsolicited communications or spam.

5. Intellectual Property

The Service, including its design, code, logos, trademarks, and content, is owned by Global Board Institute and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of all data and content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a limited license to use, store, and process it solely to provide and improve the Service.

6. Payment Terms

Vendors on paid plans agree to the pricing and billing terms presented at the time of subscription. All fees are charged in advance on a monthly or annual basis as selected. Fees are non-refundable except as required by applicable law.

Commission payouts to Partners are processed through Stripe Connect or alternative methods configured by the Vendor. Payout timing and minimum thresholds are determined by the Vendor's program settings. We act as a technology facilitator and are not responsible for payout disputes between Vendors and Partners.

We reserve the right to change pricing with 30 days' notice. Continued use of a paid plan after a price change constitutes acceptance of the new pricing.

7. Data Processing

We process personal data in accordance with our Privacy Policy. By using the Service, Vendors act as data controllers for partner data processed within their programs, and PartnerPulse acts as a data processor on their behalf.

Vendors are responsible for ensuring they have a lawful basis for collecting and processing the personal data of their Partners through the Service, including obtaining any required consents.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

In no event shall Global Board Institute, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

9. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable law. For Vendors, any outstanding commission obligations to Partners remain enforceable regardless of account termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
